Distance Sales Agreement

1. Parties and subject matter

This Distance Sales Agreement is concluded electronically between KEP YAZILIM ÇÖZÜMLERİ LTD. ŞTİ. (the “Seller”), whose details appear above, and the natural or legal person purchasing Kep Credits through kephomes.com (the “Buyer”), pursuant to Turkish Consumer Protection Law no. 6502 and the Regulation on Distance Contracts.

The subject matter of this agreement is the Buyer’s purchase of Kep Credits, in electronic form, for use on the KepHomes platform. By approving this agreement, the Buyer confirms having read and accepted the Preliminary Information Form.

2. What Kep Credit is

Kep Credit is the digital unit used to access services on the KepHomes platform. It is the sole payment unit on the platform; service fees are charged by deducting credits rather than by direct payment.

Kep Credit is not electronic money, a payment instrument, a security or an investment instrument. It cannot be converted into cash, transferred to third parties, or used outside the platform.

3. Essential characteristics and price

The amount of Kep Credit purchased, its unit price, total price and, where applicable, its validity period are shown clearly at checkout and appear in the order summary.

All prices are stated in Turkish Lira (TRY), VAT included. Prices are valid at the moment they are displayed. The Seller reserves the right to change prices prospectively; such changes do not affect purchases already completed.

4. Payment

Payments are collected by credit or debit card through the infrastructure of the payment institution iyzico Ödeme Hizmetleri A.Ş. Card details are never seen, processed or stored by KepHomes; they are transmitted directly to the payment institution.

The payment is deemed complete at the moment it is approved by the payment institution. Where a transaction is declined by the bank — for insufficient funds, limits or security verification — no agreement is formed and no credits are allocated to the Buyer.

5. Delivery

Kep Credits are allocated to the Buyer’s KepHomes account electronically, immediately upon approval of payment. There is no physical delivery, shipping or delivery address; accordingly there is no delivery period and no delivery cost.

If payment is collected but credits are not allocated due to a technical fault, the credits are allocated immediately upon the Buyer’s notification, or the amount is refunded. No deduction is applied to the Buyer in such cases.

6. Validity period of credits

The validity period of purchased credits is stated clearly at the point of purchase. Credits with no stated period do not expire.

Credits granted as part of a campaign, promotion or gift are held separately from paid credits; their validity period is notified at the time they are granted. When credits are spent, those expiring soonest are used first.

7. Buyer’s obligations

• The Buyer must keep account information accurate and up to date.
• The Buyer is responsible for the security of their account and payment instrument.
• Kep Credits may not be used for unlawful purposes or in breach of platform rules.
• Persons under eighteen years of age may not be party to this agreement.

8. Right of withdrawal

Pursuant to Article 15(1)(ğ) of the Regulation on Distance Contracts, the right of withdrawal does not apply to contracts for services performed instantly in electronic form or for intangible goods delivered instantly to the consumer.

Because Kep Credits are allocated to the account the moment payment is approved, this exception applies. The Buyer separately confirms this at checkout; the purchase cannot be completed without that confirmation.

9. No refunds

Kep Credits purchased ARE NOT REFUNDABLE. Because credits are allocated to the Buyer’s account — and the contract thereby performed — the moment payment is approved, they are not subject to refund and their price is not returned, whether or not they have been used.

Credits cannot be converted into cash, transferred to another account, or assigned to third parties. Campaign, promotional and gift credits are granted free of charge and are likewise not subject to refund.

This provision does not cover two situations arising from the Seller’s own fault: payment being collected without credits being allocated, and a service paid for with credits not being provided by the Seller. In those cases Article 5 and the provisions below apply, and the Buyer suffers no loss.

The consumer’s statutory rights in respect of defective performance and other rights arising from legislation are reserved.

10. Dispute resolution

The Buyer may first address any claim arising from this agreement to the Seller. Requests are answered within 15 days at the latest through the stated contact channels.

Disputes fall within the jurisdiction of the Consumer Arbitration Committees and Consumer Courts at the Buyer’s place of residence, within the monetary thresholds determined annually by the Turkish Ministry of Trade.

11. Entry into force

The agreement is deemed concluded at the moment the Buyer approves this agreement and the Preliminary Information Form electronically at checkout. A copy is retained in the Buyer’s account and provided upon request.
